One member of a partnership unilaterally decides to dissolve the partnership.


According to UPA, an "expression of a will to dissolve is effective as a dissolution even if contravention of the agreement."


The court states that a partnership can be dissolved by just one member of the partnership. However, if the dissolution violates the partnership agreement, there may be contractual damages assessed against the acting member.
